Payment Terms & Conditions

Introduction

These Payment Terms & Conditions ("Payment Terms") describe how Precision Solutions Group, LLC, doing business as Precision Social ("Company," "we," "us," or "our"), invoices and collects payments from clients ("Client," "you," or "your").

By using the Client Portal, adding a payment method, enrolling in Auto-Pay, or submitting payment, you agree to these Payment Terms.

These Payment Terms govern billing and payment-processing mechanics only. If you have entered into a Master Services Agreement, Statement of Work, or other written agreement with Company (the "Services Agreement"), that agreement controls in the event of any conflict.

We may update these Payment Terms from time to time. Material changes will be posted in the Client Portal Announcements section and sent to the Customer Billing Email on file. Material revisions become effective no sooner than thirty (30) days after posting.

§ 1 — Invoice Due Date

Unless otherwise stated in your Services Agreement, each invoice is due and payable on the due date stated on the invoice.

You are responsible for reviewing invoices upon receipt and maintaining accurate billing contact information.

§ 2 — Invoice Delivery

Invoices are delivered electronically to the billing email address on file. You are responsible for maintaining accurate billing contact information.

Paper copies may be requested by emailing billing@precisionsocial.com.

§ 3 — Late Fees

If an invoice is not paid by its due date, Company may assess late fees as permitted by the Services Agreement and applicable law.

Unless otherwise specified in your Services Agreement:

Grace Period. A late-fee grace period of thirty (30) days begins the day after the invoice due date. No late fees accrue during this grace period.

Rate and Frequency. After the grace period, a late fee of 1.5% per month may be assessed on the outstanding unpaid principal balance (or the maximum amount permitted by applicable law, if less).

No Compounding. Late fees do not compound unless expressly stated in the Services Agreement.

Discretion. Company may waive late fees in its discretion.

Late fees are intended as a reasonable estimate of administrative and financing costs associated with delayed payment and are not penalties.

§ 4 — Accepted Payment Methods

Checks: Payable to "Precision Solutions Group, LLC" or "Precision Social."

ACH (Bank Transfer): Bank transfer instructions may be provided on invoices.

ACH (Portal Payment): ACH payments may also be made through the Client Portal where available.

Credit/Debit Card: Through the Client Portal.

Venmo, PayPal, Zelle: Third-party payment platforms may be accepted at Company's discretion. Transactions through such platforms are subject to the applicable provider's terms and processing rules. Company is not responsible for delays, reversals, or processing limitations imposed by third-party providers.

§ 5 — Payment Processing & Security

Card and bank account payments made through the Client Portal are processed by a third-party payment processor (currently Authorize.Net and its acquiring partners).

When you add a payment method to your profile, payment information is transmitted directly to the payment processor. Company generally receives and stores a tokenized payment identifier rather than full card or bank account credentials. Company does not store CVV/CVC or other sensitive authentication data.

Company uses commercially reasonable measures designed to protect payment processing; however, no system can be guaranteed to be risk-free.

§ 6 — Authority to Use Payment Method

By providing a payment method, you represent and warrant that you are authorized to use the designated credit card, debit card, or bank account, and that all information provided is accurate and current. You agree to promptly update or remove invalid or expired payment methods.

§ 7 — Auto-Pay Authorization

By enrolling in Auto-Pay, you authorize Company to automatically charge your designated credit card, debit card, or initiate ACH debit from your designated bank account for amounts reflected on invoices issued pursuant to your Services Agreement, on your scheduled payment date (currently the first day of each calendar month, unless otherwise specified).

You will receive notice of the upcoming payment amount and date at least fourteen (14) days in advance through your selected notification method.

This authorization remains in effect until revoked in accordance with these Payment Terms.

§ 8 — ACH Authorization

If you enroll a bank account for recurring payment, you authorize Company, through its payment processor and the ACH network, to initiate electronic debit entries to the designated account for the amounts due as reflected on issued invoices.

Your electronic acceptance constitutes your signature and authorization for purposes of applicable ACH rules. Company may retain records of your authorization and related activity as required by applicable rules and law.

§ 9 — Revocation of Authorization

You may revoke authorization for future recurring payments by removing the payment method from your Client Portal and providing written notice to billing@precisionsocial.com.

Revocation applies prospectively only and does not affect charges already initiated or amounts previously incurred.

§ 10 — Failed or Reversed Payments

If a payment is rejected, refused, returned, disputed, or reversed, you remain responsible for the underlying amount owed.

Company may, as permitted under the Services Agreement:

Company shall not be responsible for losses resulting from suspension of services where such suspension is permitted under the Services Agreement.

§ 11 — Chargebacks and Disputes

Clients agree to provide written notice of billing disputes and an opportunity to resolve the matter in good faith before initiating a chargeback or ACH return, unless prohibited by applicable law.

Initiating a chargeback or ACH return does not eliminate the underlying payment obligation.

If a chargeback or return results in third-party processing fees or assessments, Company may invoice Client for the actual amounts assessed by card networks, banks, or the payment processor, to the extent permitted by law and the Services Agreement.

§ 12 — Survival

Payment obligations, chargeback liability, dispute provisions, and related rights and obligations under these Payment Terms survive termination of services.

§ 13 — Governing Law

To the extent not otherwise governed by the Services Agreement, these Payment Terms are governed by the laws of the State of Illinois. Any action arising from these Payment Terms shall be brought in the state or federal courts located in Cook County, Illinois.
